The Provider agrees to process the Client's data only within the strict framework of executing the services outlined in the contract.
The data transmitted by the Client (documents, databases, contents, identifiers, etc.) remains their exclusive property and is not subject to any exploitation, transfer, or retention outside the needs of the project.
No data will be retained beyond the duration necessary for the execution of the service, unless a specific retention clause is expressly stipulated in the signed contract between the parties.
Data ownership and retention
The Service Provider does not claim any ownership or reuse rights over the data provided or generated by the Client, unless otherwise stipulated in the contract.
The data may be retained temporarily or permanently only if a specific clause provides for it in the contract signed between the parties.
Hosting and security of solutions
By default, the solutions developed by the Provider may be hosted on secure third-party servers (cloud type) compliant with GDPR.
At the Client's request, the solutions may be installed directly on the Client's internal servers, without data exchange with the Provider's infrastructures.
In this case, the Provider commits to:
Retain no copies of the Client's data, unless explicitly provided for in the contract;
Provide the necessary tools and procedures for a local (on-premise) installation;
Ensure that no data will be transmitted outside the defined scope.
General Terms and Conditions of Sale - GTCS
1. Purpose
The present General Terms and Conditions of Sale (GTCS) govern the contractual relationships between the company Naje (SAS registered under number 944 786 425 00016, with its registered office located at 17 rue des Arts, 59000 Lille), hereinafter referred to as "the Service Provider", and any client company (hereinafter referred to as "the Client"), within the framework of B2B digital services.
2. Services offered
Naje offers customized services including, but not limited to:
Development of custom chatbots
Creation of 360° immersive videos
Provision or consulting on virtual reality (VR) equipment
AI automation (integrations, data processing, smart filters)
Non-professional training in the use of these technologies
The exact terms of the services are defined in a contract or quote signed between the parties.
3. Orders and contract
All orders are subject to a specific quote or commercial contract detailing the scope of services, deadlines, deliverables, and any special conditions.
Deliverables may be transmitted via direct integration, secure link, or file depending on the type of service.
4. Payment period
Unless otherwise stipulated in the quote or contract, services are payable by bank transfer within a 30-day end-of-month period from the date of invoice issuance.
Any delay in payment will result in legal late payment penalties as well as a flat fee of €40 for recovery costs (articles L441-10 and D441-5 of the Commercial Code).
5. Right of withdrawal
The right of withdrawal is not applicable in B2B relationships, unless otherwise specified in the commercial contract. Any cancellation or early termination will be governed by the specific terms of the signed contract.
6. Intellectual property
The tools, interfaces, scripts, content, and technical developments created by Naje remain the exclusive property of the Service Provider, unless stated otherwise in a contract.
The data provided by the Client remains their exclusive property. Naje does not claim any rights over documents, databases, or content provided by the Client, unless a specific written agreement exists.
7. Maintenance and updates
Any maintenance, correction, or technical evolution post-delivery is subject to a separate package or contract, based on the Client's needs. No maintenance guarantee is included by default unless explicitly stated in the contract.
8. Liability
The Service Provider is subject to an obligation of means. Its liability cannot be engaged in the event of improper use of the delivered tools, use contrary to recommendations, or unauthorized modification by the Client or a third party.
9. Disputes and applicable law
The present GTCS are governed by French law.
Any dispute relating to their interpretation or execution of the services will be subject to the exclusive jurisdiction of the Lille courts.
